* Development Projects
We have extensive experience in the acquisition and development of land, including dealing with community redevelopment and other public agencies, handling design, construction and builder contracts, preparing easement agreements, CC&Rs and related development documentation.
* Purchase and Sale Transactions
We assist clients with sales and acquisitions of land, office, retail, hotel, industrial, health care and other properties. This includes structuring, drafting and negotiating the purchase and sale agreement, conducting due diligence work encompassing title, environmental and lease review, and guiding clients through the financing and escrow process.
* Landlord and Tenant Representation
Our leasing expertise extends to office and industrial buildings and parks, research and development projects, medical facilities, retail centers, restaurants and ground leases. We advise clients from the letter of intent through lease negotiation, build-out, occupancy and beyond. Familiarizing ourselves with the client’s specific needs, we tailor our documentation and negotiation approach accordingly. We have the flexibility and staff to routinely handle a wide range of lease transactions - from moderate-size building leases to the largest, most complex lease transactions.
* Real Estate Financing
We advise clients on construction, sale/leaseback, permanent and gap financing as well as acquisition, development and bridge loans. We represent a number of institutional lenders on construction, bridge, revolving and miniperm real estate-secured loans. Our firm also helps clients develop financing strategies such as utilizing standby letters of credit and other credit enhancement vehicles. We have negotiated hundreds of millions of dollars in mortgage loan restructures and workouts.
* Corporate and Business Transactions
Our firm advises clients on forming, operating, managing and dissolving corporations, partnerships and limited liability companies. Representing a variety of clients, we draft and negotiate entity acquisition, sale, merger, buy-sell, management and consulting agreements. We represent numerous clients in the formation, negotiation, operation, sale and acquisition of partnerships and limited liability companies. We often provide extensive due diligence assistance for business acquisitions and mergers, including review of existing entity formation documents, service and other contracts, warranties, and asset title review and analysis.
* Taxation
We consider and advise on tax issues in connection with our transactional work. In advising a client who is forming a business entity, we select the vehicle that best meets the client’s needs and provides the optimal tax advantages. Our practice includes U.S. and state income tax planning for individuals, corporations, partnerships and limited liability companies. We also regularly advise real estate clients on California real property tax issues and on Section 1031 tax-free exchanges.
